Checkmate Cash Rewards Program Terms and ConditionsThese Checkmate Cash Rewards Program Terms and Conditions (these “Rewards Terms”) give you detailed information about how the Checkmate Cash Rewards Program (the “Program”) works. These Rewards Terms supplement and are made a part of the Checkmate Savings Terms and Conditions (the “Agreement”) and are subject in all respects to the terms and conditions of the Agreement, including but not limited to, any arbitration provisions. In the event of a conflict between the Agreement and these Rewards Terms, these Rewards Terms will control, but only to the extent necessary to resolve the conflict. Capitalized terms used in these Rewards Terms but not defined herein are as defined in the Agreement.By enrolling or otherwise participating in the Program, it means that you accept these Rewards Terms.Program EligibilityIf your Checkmate account (“Account”) is open, verified, and, as determined by us in our sole discretion, in good standing, you are eligible to earn Checkmate Cash, subject to these Rewards Terms and the Agreement (and your compliance with these Rewards Terms and the Agreement). Checkmate Cash are rewards points redeemable for gift cards on our platform. In our offers, our platform, and elsewhere, we may refer to Checkmate Cash as “cashback.” If your Account is closed, the Checkmate Cash associated with your Account will not be available for redemption and is permanently forfeited.Earning Checkmate CashYou earn Checkmate Cash by shopping at select online merchants in the Checkmate network after downloading our internet browser cookie to your computer or mobile device. The cookie is automatically downloaded to your device if you have logged into your Account and you either:

Visit the Checkmate websiteInstall and enable the Checkmate browser extensionUse the Checkmate mobile application

You must have cookies enabled in your internet browser and permit Checkmate’s cookie to be downloaded to earn Checkmate Cash. If you disable or clear cookies or use software that prevents our cookie from tracking your browser activity, you will not be able to earn rewards.With the Checkmate cookie enabled, we may make Checkmate Cash offers available to you to earn Checkmate Cash for participating transactions at eligible merchants. We may communicate Checkmate Cash offers to you through our application, by text, by email, through our website, through our browser extension, and/or by other methods in our sole discretion. Not all Checkmate Cash offers may be available through all channels.We determine your eligibility for Checkmate Cash offers in our sole discretion. Checkmate Cash offers may be personalized. Checkmate Cash offers personalized to you are not transferable.Checkmate Cash offers may have a minimum transaction amount, expiration date, and other terms or limitations, which will be provided to you with the Checkmate Cash offer or otherwise prior to purchase. Checkmate Cash may not be available if you use other coupons or discounts, other cash back or promotional websites or extensions, or if you use a VPN or ad blocker. The determination of whether a purchase qualifies for Checkmate Cash is at our sole discretion.For each Checkmate Cash offer, you will earn Checkmate Cash in an amount that may be represented as the total Checkmate Cash amount and/or as a percentage of the net subtotal of any eligible purchase (excluding, for example, tax and shipping). The amount of Checkmate Cash and/or the applicable percentage of your purchase anticipated to be earned as Checkmate Cash will vary depending on the offer and will be displayed to you prior to your purchase.Merchant Disputes and RefundsWe have no responsibility or liability for merchant products or services and any related disputes. Contact the applicable merchant if you have a customer service issue with any products or services.If you return, initiate a chargeback for, or are otherwise refunded for the goods or services purchased at a merchant, you will forfeit any Checkmate Cash that you may have earned from that purchase, and we will deduct or cancel the applicable Checkmate Cash from your Account, even if earned or redeemed.Checkmate Cash AccrualAll accrued Checkmate Cash will display in your Account as “Earned.” Cashback that is “Earned” means that it has accrued and is eligible for redemption. For most eligible merchants and purchases, Checkmate Cash earned from a purchase will generally accrue to your Account within 30 days after you have paid for your purchase. However, it may take longer for Checkmate Cash to accrue to your Account, including due to merchant policies, and we do not guarantee that Checkmate Cash will accrue and reflect an “Earned” status within any specific period of time. Checkmate reserves the right to change its accrual periods at any time without notice except as required by law.In addition, Checkmate reserves the right, at our sole discretion, to extend accrual periods that apply specifically to your Account if Checkmate suspects fraud, abuse, misuse, or suspicious activity involving your Account, as determined by Checkmate in its sole discretion. These extended accrual periods are in addition to the accrual periods that apply to each merchant. If extended accrual periods are applied to your Account, we will notify you.It is your responsibility to check your Account regularly to ensure that Checkmate Cash has been properly credited and that your Account balance is accurate.Checkmate Cash is not money, has no cash value, and may only be redeemed for gift cards that we offer through the Program. Checkmate Cash is not transferrable. You have no property interest or other legal interest in Checkmate Cash.Redeeming Checkmate CashCheckmate Cash is redeemable from your Account for gift cards from participating merchants. In general, Checkmate Cash is redeemable for gift cards from any merchant affiliated with Checkmate; however, in some cases, Checkmate Cash is redeemable only for gift cards from the specific merchant through which you earned the Checkmate Cash (“Restricted Cash”). Checkmate Cash you accrue from Restricted Cash merchants will be displayed as separate balances when you log into your Account. Checkmate will also notify you, at the time of the offer or otherwise, including by posting a list of Restricted Cash merchants on our website, if the merchant only offers Restricted Cash.Checkmate may, in its discretion, limit the periods in which you are permitted to redeem your Checkmate Cash (the “Redemption Period”). Checkmate will notify you of any Redemption Periods.You may redeem your Checkmate Cash starting at $10 (or, in our sole discretion, a lower amount). Subject to our discretion to increase the amount, there is a $1,000 maximum lifetime redemption limit over the course of your participation in the Program.Once you have redeemed your Checkmate Cash, Checkmate will deliver your gift cards by email. While we generally expect to deliver your gift cards within 24 hours, processing times are not guaranteed and may vary depending on the gift card provider. Once you have redeemed your Checkmate Cash, that action is final and you cannot change your gift card selection or otherwise return the gift cards selected.Gift cards are provided and redeemable by third parties and are subject to applicable third-party terms and conditions. You agree that we are not responsible for any gift card program, we are not the issuer of any gift cards, we are not the holder of any liabilities related to unredeemed gift cards, and we make no representations or warranties regarding the gift cards or the products and services you purchase with any such gift card. For example, we are not responsible if gift cards are compromised, lost, or stolen after they are delivered to you, or if any merchant discontinues its gift card program.If your Account information is lost or stolen, anyone who obtains access to your Account may redeem your Checkmate Cash. If you become aware of any unauthorized use of your Account, you agree to notify Checkmate immediately. You are responsible for all of your Account transactions, including unauthorized transactions, to the maximum extent permitted by law.Expiration of Checkmate CashCheckmate Cash, if left unredeemed, expires two years from the date of accrual.Forfeiture and Adjustments of Checkmate CashIf you close your Account or otherwise unenroll from the Program, all Checkmate Cash previously earned or accrued is immediately forfeited. Checkmate will not reinstate any forfeited or expired Checkmate Cash unless Checkmate determines that it has made an error.If Checkmate detects or suspects fraud, abuse, misuse, any violation of these Rewards Terms or the Agreement, or suspicious activity, in each case as determined by Checkmate in its sole discretion, Checkmate reserves the right to take action against you, including deducting earned or accrued Checkmate Cash, cancelling or suspending any pending Checkmate Cash, stopping you from earning or accruing further Checkmate Cash, cancelling your enrollment in the Program, suspending or closing your Checkmate Account, and taking legal action against you to recover the value of Checkmate Cash redeemed based on fraudulent or otherwise illegal activity. Without limiting this paragraph, we may take these actions if we reasonably believe that you are engaging in a pattern of returning products or cancelling services, using duplicate accounts, and/or engaging in conduct that may threaten or impair our relationship with any merchant.If a merchant fails to pay us our affiliate fee for any transaction, we reserve the right to cancel and/or deduct the related Checkmate Cash. We reserve the right to adjust your Checkmate Cash balance to resolve clerical or accounting errors.Changes to the Program; Termination

Checkmate may make changes to the Rewards Terms or Program at any time, including but not limited to adding new terms, deleting terms, changing how you earn or accrue Checkmate Cash, changing how you use or redeem Checkmate Cash, changing Redemption Periods, and changing the terms associated with any specific merchant in the Program. Checkmate may also temporarily prohibit you from earning Checkmate Cash or using any other feature of the Program. We will notify you of any such changes to the Program by posting an updated copy of these Rewards Terms here. We will provide advance notice of changes when required by applicable law. Any changes to the Rewards Terms are effective upon posting. You can decline any changes by terminating your participation in the Program and closing your Account. Your continued use of the Program constitutes your acceptance of any revised Rewards Terms. You or we can terminate your participation in the Program and close your Account at any time and for any reason. To the maximum extent permitted by applicable law and without limiting any of our other limitations of liability, your sole right and remedy with respect to any dispute regarding the calculation, eligibility for, accrual, forfeiture, cancellation or adjustment of Checkmate Cash or any other dispute regarding the Program is to terminate your participation in the Program and to close your Account. Checkmate shall not be liable for any modification, suspension, or termination of the Program or your access to the Program.
